Proposal for the composition of Boliden's Board of Directors

In view of the transaction between Boliden and Outokumpu, Boliden
shareholders representing approximately 30 percent of the total number
of shares and votes in the company have informed Boliden that at the
extraordinary shareholders' meeting to be held on December 18, 2003 they
will jointly propose that:

Ms. Satu Huber, Mr. Tapani Järvinen, Mr. Christoffer Taxell and Mr.
Risto Virrankoski are elected new members of the Boliden Board of
Directors, replacing Ms. Gun Berglund, Mr. Göran Collert, Mr. Sverker
Martin-Löf and Mr. Kjell Nilsson.

Mr. Carl Bennet, Ms. Marie Berglund, Mr. Jan Johansson and Mr. Anders
Sundström will remain members of the Board as elected at the annual
shareholders' meeting in May 2003.

The Board of Directors of New Boliden will altogether comprise 11
members also including three personnel representatives,. Mr. Risto
Virrankoski is proposed to be Chairman and Mr. Carl Bennet Deputy
Chairman of the Board of New Boliden.

The resolution regarding these changes to the Board of Directors of
Boliden shall concern the period up until the close of the next annual
shareholders' meeting, and come into effect at closing of the
transaction between Boliden and Outokumpu, which is estimated to take
place by the year-end 2003.

An invitation to the extraordinary shareholders' meeting that will held
on December 18, 2003 in Skellefteå, Sweden will be published tomorrow in
Swedish Official Gazette, Svenska Dagbladet, Dagens Nyheter,
Västerbottens Folkbladet and Norra Västerbotten. The invitation will
also be published as a separate stock exchange release.

Den onormalt höga seismiska aktiviteten i Garpenberg har minskat och gruvproduktion på låga nivåer kommer påbörjas under det andra kvartalet. Genomsättningen för det första kvartalet blev knappt 0.8 Mton istället för som förväntat drygt 0.9 Mton till redan kommunicerade halter. Samtliga inspektioner är ännu inte färdigställda men produktion i den mest berörda delen av gruvan bedöms inte kunna återupptas under 2026. Fram till att annat meddelas beräknas Garpenbergs produktion därför uppgå till omkring 30 procent av guidad kapacitet på 3.7 Mton per år. För första kvartalet 2026 påverkas EBITDA negativt med cirka -400 MSEK med dagens priser och villkor.

Boliden har beslutat att investera i ett nytt uppfordringsschakt vid Garpenberg och en industriell demonstrationsanläggning för produktion av cementersättning vid Rönnskär. Investeringarna, som uppgår till 4 miljarder SEK respektive 1,5 miljarder SEK, kommer att stärka båda enheternas resultatförmåga och lägga grunden för att utnyttja ytterligare framtida möjligheter.
