Communiqué from Boliden's AGM

Boliden’s shareholders were given the opportunity, in conjunction with the company’s AGM which this year was held in Gällivare, to visit Boliden Aitik and experience the operations there through guided tours and exhibitions.

Dividend and record day

The Meeting resolved to pay a dividend of SEK 5.25 per share to the shareholders and set Thursday, 27 April 2017 as the record day for dividends. The dividend is scheduled for disbursal to the shareholders through the agency of Euroclear Sweden AB on Wednesday, 3 May 2017.

Board of Directors 

The Meeting resolved to re-elect the following Board Members: Marie Berglund, Tom Erixon, Lennart Evrell, Michael G:son Löw, Elisabeth Nilsson, Pekka Vauramo and Anders Ullberg, and to elect a new Member, Pia Rudengren. Pia Rudengren holds a Master’s Degree in Business Administration and Economics and is, amongst other things, a former CFO of Investor and Vice President of W Capital Management. She is a Member of the Boards of Duni, Kappahl and Tikkurila. The Meeting also resolved to re-elect Anders Ullberg as the Chairman of the Board.

Fees 

The Meeting resolved to pay Director’s fees of SEK 1,575,000 to the Chairman of the Board and of SEK 525,000 to Board Members who are not employed by the company, together with fees of SEK 190,000 to the Chairman of the Audit Committee, SEK 90,000 to members of the Audit Committee, and SEK 50,000 to members of the Remuneration Committee.

Nomination Committee 

The Meeting appointed Jan Andersson (Swedbank Robur fonder), Lars Erik Forsgårdh, Ola Peter Gjessing (Norges Bank Investment Management), Anders Oscarsson (AMF) and Anders Ullberg (Chairman of the Board) as members of the Nomination Committee.

Auditors

The accounting firm, Deloitte AB, was re-elected as the company’s auditors for the period up to and including the next AGM.
