Under the instructions adopted by Boliden AB's Annual General Meeting, and subject to their willingness to participate, Boliden's Nomination Committee shall consist of members appointed by the three largest shareholders by voting rights, based on Euroclear Nordics AB's print-out of the share register as of August 31, 2026.
In accordance herewith, the Nomination Committee has now been appointed and consists of the following members:
· Lennart Francke, Swedbank Robur Fonder, Chair of the Nomination Committee
· Magnus Tell, Alecta
· Karin Eliasson, Handelsbanken Fonder
The Chair of the Board, Karl-Henrik Sundström, has been co-opted to the Nomination Committee.
Prior to the 2027 Annual General Meeting, the Nomination Committee shall prepare proposals for the Chair of the Meeting, the number of Board members, Board and committee fees, the election of Board members and the Chair of the Board, fees for the auditor and the election of the auditor, as well as any proposals for changes to the Nomination Committee's instructions.
The Annual General Meeting is scheduled to take place on April 28, 2027, at Rönnskär, Skellefteå. Shareholders who wish to submit proposals to the Nomination Committee may contact the Nomination Committee by email at [email protected]. For proposals to be considered, they must be received by the Nomination Committee no later than January 29, 2027.
